Terms of Service

Artwing Digital Marketing LLC, Dubai, UAE · Commercial Licence No. 1199498 · Effective 1 July 2026.

1. Definitions

The following terms shall have the meanings set forth below: • "Artwing Digital Marketing LLC" refers to Artwing Digital Marketing LLC, a limited liability company incorporated in Dubai, United Arab Emirates, operating under Commercial License No. 1199498 (Tax Registration Number to be provided upon VAT registration), trading as "a.hub" and providing the Services described herein. • "Client" or "You" refers to the business entity or individual subscribing to or using the Services provided by Artwing Digital Marketing LLC. • "Services" refers to the self-serve, managed AI-search and Google SEO content service provided by Artwing Digital Marketing LLC, including but not limited to AI-generated article creation, content publication on the Client's domain via CNAME, and integration with the Client's Google Search Console and Analytics. • "Platform" refers to the online interface and underlying infrastructure provided by Artwing Digital Marketing LLC through which the Services are accessed and managed. • "Content" refers to all articles, blog posts, and other materials generated by the AI system as part of the Services and published on the Client's subdomain. • "Effective Date" refers to the date upon which the Client accepts these Terms of Service.

2. Agreement & Acceptance

By accessing or using the Services, clicking to accept these Terms, or executing an order form that references these Terms, the Client acknowledges that they have read, understood, and agree to be bound by these Terms of Service in their entirety, along with Artwing Digital Marketing LLC's Privacy Policy. These Terms constitute a legally binding agreement between Artwing Digital Marketing LLC and the Client. If the Client does not agree to these Terms, they must not access or use the Services. These Terms may be updated by Artwing Digital Marketing LLC from time to time, with notice provided to the Client, and continued use of the Services after such updates constitutes acceptance of the revised Terms.

3. Eligibility & Authority

The Services are intended solely for businesses and individuals who are at least 18 years of age and possess the legal capacity to enter into binding agreements. By accepting these Terms, the Client represents and warrants that they are 18 years of age or older. If the Client is an individual entering into these Terms on behalf of a business entity, the Client represents and warrants that they have the full legal authority to bind that entity to these Terms. Artwing Digital Marketing LLC reserves the right to request proof of such authority and to suspend or terminate access to the Services if such proof is not provided or is deemed insufficient.

4. Service Description

Artwing Digital Marketing LLC, trading as a.hub, provides a self-serve, managed AI-search and Google SEO content service that leverages artificial intelligence to generate and publish content. • The Services include connecting to the Client's Google Search Console and Google Analytics accounts (via read-only access, never requiring the Client's Google password) and hosting a blog on a subdomain of the Client's domain via CNAME. • Artwing Digital Marketing LLC aims to publish approximately two (2) AI-generated articles per day. The Client explicitly acknowledges and agrees that Artwing Digital Marketing LLC provides no guarantees regarding search engine rankings, specific AI citations, website traffic, or any particular business results. • The Client understands that the Content is AI-generated and will be published under the Client's own brand and domain; thus, the Client is the sole publisher and assumes all associated risks and liabilities for the Content, retaining full editorial control and responsibility.

5. Account Registration & Account Security

To access the Services, the Client must register for an account, providing accurate, current, and complete information as requested by Artwing Digital Marketing LLC. The Client agrees to maintain and promptly update this information to keep it accurate, current, and complete. The Client is solely responsible for maintaining the confidentiality of their account credentials, including username and password, and for all activities that occur under their account, whether or not authorized by the Client. Artwing Digital Marketing LLC strongly recommends enabling two-factor authentication (2FA) for enhanced account security. The Client must immediately notify Artwing Digital Marketing LLC of any unauthorized use of their account or any other breach of security. Artwing Digital Marketing LLC will not be liable for any loss or damage arising from the Client's failure to comply with this security obligation.

6. Subscription Start

Artwing Digital Marketing LLC bills new customers on signup: a valid card is collected via Stripe and charged for the first monthly period immediately. This applies to one subscription per unique customer. The Client's subscription begins immediately on signup and renews monthly, and the Client's provided payment method will be charged the applicable monthly fee plus VAT, until the Client cancels. Instructions for cancellation are available in the account dashboard.

7. Subscription, Fees & VAT

Upon subscription to the Services, the Client is enrolled in a recurring monthly subscription plan, charged on signup. The current standard monthly subscription fee is AED 1,999 (one thousand nine hundred ninety-nine United Arab Emirates Dirhams). All subscriptions auto-renew monthly. Where a promotional or introductory price is offered, it is displayed at checkout, applies only for the number of months (billing cycles) stated at checkout, and the subscription then automatically renews at the standard monthly fee. The total amount payable for each period — including any promotional price and applicable VAT — is shown to the Client before the Client confirms payment. Any applicable Value Added Tax (VAT) will be added to charges at the prevailing rate in accordance with UAE tax laws. Artwing Digital Marketing LLC is not currently VAT-registered; if and when it becomes VAT-registered, VAT will be applied to charges and its Tax Registration Number (TRN) provided. All fees are non-refundable, except as expressly stated otherwise in these Terms.

8. Billing, Payment & Auto-Renewal

All payments for the Services are processed securely through Stripe, Artwing Digital Marketing LLC's designated payment sub-processor. By providing payment information, the Client authorizes Artwing Digital Marketing LLC and its payment processor to charge the provided payment method for all applicable fees on a recurring monthly basis. • The Client agrees to maintain current, valid, and accurate payment information on file. The monthly subscription will automatically renew each month, and the Client's payment method will be automatically charged AED 1,999 plus any applicable VAT at the prevailing rate until the subscription is cancelled. • The Client expressly authorizes Artwing Digital Marketing LLC to initiate charges to their payment method in accordance with this auto-renewal schedule. The Client understands that compliance with Strong Customer Authentication (SCA) and 3-D Secure protocols may be required for certain transactions, and the Client agrees to cooperate with such authentication requirements.

9. Failed Payments, Dunning & Suspension

Should any payment fail, Artwing Digital Marketing LLC (trading as "a.hub") will initiate a dunning process, attempting to re-charge the registered payment method for the overdue amount. We reserve the right to suspend or terminate access to the service if payment remains outstanding after reasonable dunning attempts. • Services will be reinstated upon successful receipt of all outstanding payments. • Suspension or termination due to failed payments does not relieve the Client of their obligation to pay any accrued fees.

10. Price Changes

Artwing Digital Marketing LLC (trading as "a.hub") reserves the right to modify its pricing for services at any time. Any changes will be communicated to the Client at least thirty (30) days in advance of their effective date. • Such price changes will apply to the next billing cycle following the notice period. • Continued use of the service after the effective date of the price change constitutes acceptance of the new pricing.

11. Chargebacks & Payment Disputes

Any chargeback or payment dispute initiated by the Client without prior good-faith communication with Artwing Digital Marketing LLC (trading as "a.hub") to resolve the issue shall be considered a material breach of these Terms of Service. In the event of a wrongful chargeback, Artwing Digital Marketing LLC may immediately suspend or terminate the Client's access to the service and pursue all available legal remedies to recover the disputed amount, associated fees, and damages. • The Client agrees that all fees are non-refundable once charged, as detailed in Section 13 (Refunds) and our Refund Policy. • The Client further acknowledges that initiating a chargeback for services legitimately rendered constitutes a fraudulent act.

12. Cancellation

Clients may cancel their subscription at any time through their account dashboard or by contacting Artwing Digital Marketing LLC (trading as "a.hub") support. Cancellation will be effective at the end of the current monthly billing period, and no further charges will be incurred. • The subscription can be cancelled at any time from the account dashboard to stop future charges. • Upon cancellation, access to the service and content generation will cease, and Client data will be retained for ninety (90) days before deletion, except for records required by UAE law, such as tax and billing information, which may be kept for approximately five (5) years.

13. Refunds

All fees paid for services provided by Artwing Digital Marketing LLC (trading as "a.hub") are non-refundable once charged. This policy is in place due to the immediate allocation of resources and commencement of service upon subscription. • Subscriptions renew monthly and Clients may cancel at any time to stop the next charge. • For full details regarding our refund policy, please refer to our dedicated Refund Policy document, which forms an integral part of these Terms of Service.

14. Client Responsibilities & Cooperation

The Client agrees to provide accurate and complete information required for service provision and to cooperate fully with Artwing Digital Marketing LLC (trading as "a.hub") to facilitate the effective delivery of services. This includes ensuring necessary access to their Google Search Console and Google Analytics accounts. • The Client is solely responsible for maintaining the security and confidentiality of their account credentials and for all activities that occur under their account. • The Client acknowledges that any delays or failures in providing necessary information or cooperation may impact service delivery, for which Artwing Digital Marketing LLC shall not be liable.

15. Google Account Access

To provide our services, Artwing Digital Marketing LLC (trading as "a.hub") requires read-only access to the Client's Google Search Console and Google Analytics accounts. This access is granted by the Client adding a designated a.hub user as a 'read-only' user to their accounts. • Under no circumstances will Artwing Digital Marketing LLC ever request or require the Client's Google account password. • The Client retains full control over this access and can revoke it at any time directly through their Google account settings. • Artwing Digital Marketing LLC acts as a Processor of the Client's Google visitor data under these Terms and the associated Data Processing Addendum.

16. Content: Ownership, Licence to Publish & Client Warranties

The AI-generated content produced by Artwing Digital Marketing LLC (trading as "a.hub") is published on a subdomain of the Client's domain via CNAME, establishing the Client as the sole publisher of such content. The Client retains full ownership of all content published on their domain. • By using our service, the Client grants Artwing Digital Marketing LLC a limited, non-exclusive, royalty-free license to generate and publish content on the Client's designated subdomain. • The Client warrants that they have all necessary rights, licenses, and permissions to publish the content and that the content will not infringe any third-party intellectual property rights, be defamatory, or violate any applicable laws or regulations. • The Client acknowledges that Artwing Digital Marketing LLC makes no warranty as to the originality, accuracy, completeness, or non-infringement of third-party intellectual property rights for any AI-generated content, as such content is derived from third-party AI models. • The Client agrees to exercise full editorial control over all published content and is solely responsible for verifying its accuracy, legality, and appropriateness before and after publication.

17. AI-Generated Content – Disclosure, Accuracy & No Reliance

Artwing Digital Marketing LLC (trading as "a.hub") utilizes advanced artificial intelligence models to generate content for publication on your designated blog subdomain. You acknowledge and agree that all such content is algorithmically produced and may contain inaccuracies, omissions, or reflect biases inherent in the training data of the underlying AI models. • Artwing Digital Marketing LLC expressly disclaims all warranties, express or implied, regarding the accuracy, completeness, legality, originality, or reliability of any AI-generated content. • You are solely responsible for reviewing, editing, and verifying the factual accuracy and appropriateness of all AI-generated content before and after publication, and you agree not to rely on Artwing Digital Marketing LLC for such verification.

18. Your Responsibility for Published Content & Exclusion of Our Liability

By utilizing our service, you agree that you are the sole publisher of all content, including AI-generated articles, published on your domain or subdomain, and you assume full editorial control and responsibility for such content. Artwing Digital Marketing LLC acts solely as a technical service provider facilitating content generation and publication, and does not assume any publisher role. • Artwing Digital Marketing LLC shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or reputation, arising from your use of the service or any content published. • You expressly exclude Artwing Digital Marketing LLC from all liability for any loss, fine, regulatory or governmental action, defamation claim, misinformation, intellectual property infringement, or any third-party claim arising directly or indirectly from the content published on your domain, regardless of its origin. • You agree to indemnify, defend, and hold harmless Artwing Digital Marketing LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your published content or your breach of this clause.

19. Acceptable Use Policy

You agree to use the services provided by Artwing Digital Marketing LLC (trading as "a.hub") only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the service by, any third party. Prohibited activities include, but are not limited to, publishing content that is illegal, defamatory, obscene, harmful, threatening, abusive, harassing, or that promotes discrimination. • You shall not publish content that infringes upon any intellectual property rights, privacy rights, or other proprietary rights of any third party. • Artwing Digital Marketing LLC reserves the right, but is not obligated, to monitor content published through our services and to refuse to publish or remove any content that, in our sole discretion, violates this Acceptable Use Policy or is otherwise objectionable, without prior notice or liability. • In the event of any notice or complaint regarding content published on your subdomain, Artwing Digital Marketing LLC may, without assuming any liability, take action as an intermediary service provider under applicable UAE laws, including Federal Decree-Law No. 34/2021 on Combating Rumours and Cybercrimes.

20. Security (Our Measures, Your Obligations, Responsible Disclosure)

Artwing Digital Marketing LLC (trading as "a.hub") implements reasonable technical and organizational security measures designed to protect the integrity and confidentiality of your data accessed or processed through our services. These measures include encryption, access controls, and regular security assessments. However, no system can guarantee absolute security. • You are responsible for maintaining the confidentiality and security of your account credentials, including any API keys or access tokens provided, and for all activities that occur under your account. • You agree to promptly notify Artwing Digital Marketing LLC of any unauthorized use of your account or any other breach of security. • If you discover any security vulnerabilities in the Artwing Digital Marketing LLC platform, you agree to report them responsibly to us immediately and refrain from exploiting or publicly disclosing them without our express written consent.

21. Intellectual Property (The a.hub Platform)

All intellectual property rights in and to the Artwing Digital Marketing LLC (trading as "a.hub") platform, its underlying technology, software, design, and documentation, including all trademarks, copyrights, patents, and trade secrets, are exclusively owned by Artwing Digital Marketing LLC or its licensors. Your access to the service grants you a limited, non-exclusive, non-transferable, revocable license to use the service strictly in accordance with these Terms. • These Terms do not transfer any ownership rights or intellectual property rights from Artwing Digital Marketing LLC to you or any third party. • You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the a.hub platform or create derivative works based on it. • You retain all ownership rights in your proprietary content and data that you provide to Artwing Digital Marketing LLC for processing through the service, subject to the licenses granted herein for the purpose of providing the service.

22. Confidentiality

Both Artwing Digital Marketing LLC (trading as "a.hub") and you, the Client, agree to maintain the confidentiality of all non-public information disclosed by the other party that is designated as confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). This includes, but is not limited to, business plans, technical data, pricing, customer lists, and proprietary software. • Confidential Information shall not include information that is publicly available, independently developed by the recipient, or rightfully received from a third party without restriction. • Each party agrees to use the other's Confidential Information solely for the purpose of fulfilling its obligations under these Terms and to protect such Confidential Information with the same degree of care it uses for its own similar information, but no less than reasonable care. • Confidential Information may be disclosed if required by law or regulation, provided that the disclosing party provides prior notice to the other party where legally permissible, allowing them to seek a protective order or other appropriate remedy.

23. Third-Party Services & Dependencies (Google, Stripe, Hosting)

Artwing Digital Marketing LLC (trading as "a.hub") relies on various third-party services, including but not limited to Stripe for payment processing, Google for integration with Google Search Console & Analytics, Vercel for hosting our platform, and external email providers. You acknowledge that the availability and functionality of our service are dependent on the continued operation and policies of these third-party providers. • Artwing Digital Marketing LLC is not responsible for the terms of service, privacy policies, or practices of any third-party services, and you are advised to review them independently. • For Google services, you grant Artwing Digital Marketing LLC read-only access to your Google Search Console and Google Analytics data for the sole purpose of providing the service. Artwing Digital Marketing LLC acts as a data processor for this visitor data, and a separate Data Processing Addendum (DPA) shall govern its processing. • Artwing Digital Marketing LLC shall not be liable for any damages or losses arising from the unavailability, malfunction, or changes in the services or policies of these third-party providers.

24. Service Availability, Maintenance & Changes

Artwing Digital Marketing LLC (trading as "a.hub") strives to ensure continuous availability of its services but does not guarantee uninterrupted or error-free operation. The service may be temporarily unavailable due to scheduled maintenance, unscheduled downtime, system failures, or events beyond our reasonable control. • Artwing Digital Marketing LLC reserves the right to perform maintenance on the platform at any time, which may result in temporary service interruptions. We will endeavor to provide reasonable advance notice for planned maintenance. • Artwing Digital Marketing LLC reserves the right to modify, suspend, or discontinue any aspect of the service, including features, functionality, and pricing, at any time, with or without notice. While we will endeavor to provide notice of significant changes, your continued use of the service after any such changes constitutes your acceptance of the updated service. • Artwing Digital Marketing LLC shall not be liable for any losses or damages arising from service unavailability, maintenance, or modifications.

25. Disclaimers

Artwing Digital Marketing LLC (trading as "a.hub") provides services on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Artwing Digital Marketing LLC makes no guarantees, representations, or warranties regarding specific results or outcomes from the use of its services, including but not limited to search engine rankings, website traffic, conversion rates, or any financial or reputational benefits. • Clients acknowledge that actual results may vary significantly based on numerous factors outside the control of Artwing Digital Marketing LLC, including market conditions, competitor activities, changes in search engine algorithms, and the inherent variability of AI-generated content.

26. Limitation of Liability

To the maximum extent permitted by UAE law, Artwing Digital Marketing LLC (trading as "a.hub") shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use or alteration of your transmissions or content. • The total aggregate liability of Artwing Digital Marketing LLC for any claim arising out of or relating to these Terms or the Services, regardless of the form of the action, shall be limited to the amount of fees paid by the client to Artwing Digital Marketing LLC during the three (3) months immediately preceding the date on which the claim arose. • This limitation of liability shall not apply to claims arising from Artwing Digital Marketing LLC's fraud, wilful misconduct, gross negligence, or liability for death or personal injury caused by Artwing Digital Marketing LLC's negligence.

27. Indemnification

The Client shall fully indemnify, defend, and hold harmless Artwing Digital Marketing LLC (trading as "a.hub"), its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fines, penalties, and professional fees (including reasonable attorneys' fees) arising from or in any way related to: • The content published on the Client's subdomain, including but not limited to claims of defamation, misinformation, intellectual property infringement, violation of any law or regulation, or any third-party claims arising from the content's accuracy, legality, or nature. • Any breach by the Client of these Terms of Service or any applicable laws or regulations. • The Client's use of the services, except to the extent caused by Artwing Digital Marketing LLC's fraud, wilful misconduct, or gross negligence. • The Client acknowledges and agrees that as the publisher of record for all content generated and hosted via the services on its own domain, it assumes sole responsibility and all associated risks for such content.

28. Right to Refuse, Moderate or Remove Content & Notice-and-Takedown

Artwing Digital Marketing LLC (trading as "a.hub") reserves the right, but is not obligated, to refuse to publish, or to moderate or remove any content generated or proposed for publication through its services, if Artwing Digital Marketing LLC, in its sole discretion, deems such content to be in violation of these Terms, any applicable laws or regulations, or potentially harmful, offensive, or inappropriate. • While Artwing Digital Marketing LLC primarily acts as a technical service provider and content host, it maintains the right to take down content upon receiving a valid notice from a third party or a governmental authority alleging illegality or infringement. • Artwing Digital Marketing LLC will endeavor to provide the Client with notice of any such refusal, moderation, or removal, where practicable, but is not obligated to do so, especially in urgent or legally mandated situations.

29. Intermediary / Host Status & Limited Editorial Control

Artwing Digital Marketing LLC (trading as "a.hub") operates as a technical service provider and content host, facilitating the publication of AI-generated content on client subdomains. The Client retains full editorial control over all published content and is solely responsible for its accuracy, legality, and compliance with all applicable laws. • Artwing Digital Marketing LLC acts as an intermediary, and as such, does not exercise prior editorial control over the content published by the Client. Pursuant to UAE Cybercrime Law No. 34 of 2021, Artwing Digital Marketing LLC's liability as a host is limited to situations where it has actual knowledge of unlawful content and fails to remove it promptly. • The Client acknowledges that any review or moderation undertaken by Artwing Digital Marketing LLC is for the benefit of service integrity and does not transfer publishing liability from the Client to Artwing Digital Marketing LLC.

30. Third-Party AI Providers & No Warranty of Originality

The services provided by Artwing Digital Marketing LLC (trading as "a.hub") utilize advanced artificial intelligence models, which may include components from third-party AI providers. While Artwing Digital Marketing LLC strives to generate high-quality and unique content, it does not warrant or guarantee the absolute originality, factual accuracy, or freedom from plagiarism of any AI-generated content. • The Client understands that AI models are trained on vast datasets and may, in rare instances, generate content that is similar to existing material. • Artwing Digital Marketing LLC disclaims all liability for any claims arising from the originality, accuracy, or potential infringement of third-party intellectual property rights related to the AI-generated content.

31. B2B Only – Consumer Protection Law Inapplicable & Cooling-Off Waiver

The services provided by Artwing Digital Marketing LLC (trading as "a.hub") are exclusively business-to-business (B2B) in nature, intended for commercial entities and not for individual consumers. Accordingly, the provisions of UAE Federal Decree-Law No. 24/2023 on Consumer Protection are not applicable to the relationship between Artwing Digital Marketing LLC and its Clients. • By accepting these Terms, the Client expressly confirms that it is a business entity entering into this agreement for commercial purposes. • The Client acknowledges and explicitly waives any right to a cooling-off period or similar consumer cancellation rights that might otherwise apply under consumer protection legislation.

32. Electronic Acceptance & Records as Evidence

By electronically accepting these Terms of Service, the Client agrees to be legally bound by their provisions. Such electronic acceptance shall be deemed equivalent to a physical signature and shall have the same legal force and effect. • The Client agrees that electronic records and communications maintained by Artwing Digital Marketing LLC (trading as "a.hub"), including but not limited to service usage data, payment records, and communications, shall be admissible as evidence in any legal proceedings to the same extent and under the same conditions as paper documents. • The Client shall not contest the admissibility or enforceability of Artwing Digital Marketing LLC's electronic records merely because they are in electronic form.

33. Independent Contractors – No Agency

Artwing Digital Marketing LLC (trading as "a.hub") and the Client are independent contractors. Nothing in these Terms of Service or any Service Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between Artwing Digital Marketing LLC and the Client. • Artwing Digital Marketing LLC has no authority to bind the Client, and the Client has no authority to bind Artwing Digital Marketing LLC, to any third party whatsoever. • The Client acknowledges and agrees that Artwing Digital Marketing LLC acts solely as a service provider facilitating content generation and publishing, not as an agent or representative of the Client's business or brand for any purpose.

34. Time Limit for Claims (Limitation Period)

Any claim or cause of action arising out of or related to these Terms of Service or the services provided by Artwing Digital Marketing LLC (trading as "a.hub") must be filed within twelve (12) months after such claim or cause of action arose. Failure to file within this period shall forever bar such claim or cause of action. • This limitation period applies regardless of the nature of the claim, whether in contract, tort, or otherwise, and supersedes any longer statutory limitation periods to the maximum extent permitted by UAE law. • The parties expressly agree that this clause is a material term and condition of their agreement and is intended to limit the time within which any legal action can be commenced.

35. Marketing Communications Consent (TDRA)

By agreeing to these Terms, the Client expressly consents to receive marketing and promotional communications from Artwing Digital Marketing LLC (trading as "a.hub") via email, SMS, and other electronic means. These communications may include information about new features, services, promotions, and updates related to a.hub’s offerings. • This consent is provided in compliance with the Telecommunications and Digital Government Regulatory Authority (TDRA) regulations in the UAE. • The Client may opt-out of receiving such marketing communications at any time by following the unsubscribe instructions provided in the communications or by contacting Artwing Digital Marketing LLC directly, without affecting the provision of core services.

36. Publicity & Reference Rights

The Client grants Artwing Digital Marketing LLC (trading as "a.hub") the right to use the Client's company name and logo as a reference in its marketing, sales, and promotional materials, including on its website, client lists, and in case studies. • Artwing Digital Marketing LLC may issue a press release or public announcement regarding the Client's engagement with a.hub, provided that the Client's prior written consent is obtained for the specific content of such release or announcement. • This right extends globally and perpetually unless explicitly revoked in writing by the Client, provided that any such revocation does not affect materials already published or distributed prior to the revocation.

37. Order of Precedence

In the event of any conflict or inconsistency between the various documents comprising the agreement between Artwing Digital Marketing LLC (trading as "a.hub") and the Client, the following order of precedence shall apply: • 1. The Service Agreement (if any) specific to the Client. • 2. These Terms of Service. • 3. The Privacy Policy of Artwing Digital Marketing LLC. • Any other documents or communications shall be considered supplementary and subordinate to the aforementioned documents unless expressly agreed otherwise in writing by both parties with specific reference to this clause.

38. Suspension & Termination by Us (for Cause)

Artwing Digital Marketing LLC (trading as "a.hub") reserves the right to suspend or terminate the Client’s access to the services immediately, without prior notice, if the Client breaches any material provision of these Terms of Service, including but not limited to: • Non-payment of fees when due, including failed Stripe charges. • Any activity by the Client that, in the sole discretion of Artwing Digital Marketing LLC, is harmful to Artwing Digital Marketing LLC, the services, other clients, or third parties, including but not limited to the use of services for illegal activities, infringement of intellectual property rights, or the publication of defamatory, libelous, or misleading content. • Provision of false, inaccurate, incomplete, or outdated information during registration or at any time thereafter. • Any attempt to circumvent or disable any security or technological protection measures implemented by Artwing Digital Marketing LLC. • Artwing Digital Marketing LLC also reserves the right to suspend or terminate services if required by law or a governmental authority.

39. Effect of Termination (Data Deleted After 90 Days; Legally-Required Records Retained; Fees Due; Survival)

Upon termination of services for any reason: • All licenses and rights granted to the Client under these Terms of Service shall immediately cease, and the Client must immediately discontinue all use of the services. • Artwing Digital Marketing LLC (trading as "a.hub") will retain Client data, including content, for a period of ninety (90) days from the effective date of termination. After this 90-day period, Artwing Digital Marketing LLC will permanently delete all Client data from its systems, except for records that Artwing Digital Marketing LLC is legally obliged to retain for tax, accounting, or other regulatory purposes under UAE law (e.g., UAE FTA records for approximately five years). • The Client remains liable for all fees and charges accrued up to the effective date of termination, including any outstanding balances for services rendered. • Clauses relating to intellectual property, indemnification, limitation of liability, governing law, dispute resolution, and any other clauses which by their nature should survive termination, shall remain in full force and effect.

40. Force Majeure

Neither Artwing Digital Marketing LLC (trading as "a.hub") nor the Client shall be liable for any failure or delay in performing its obligations under these Terms of Service if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. • The party affected by a force majeure event shall promptly notify the other party and use commercially reasonable efforts to mitigate the effects of the event. • If the force majeure event continues for a period exceeding thirty (30) days, either party may terminate the affected services or these Terms of Service by providing written notice to the other party, without further liability except for obligations accrued prior to the force majeure event.

42. Changes to These Terms

Artwing Digital Marketing LLC (trading as a.hub) reserves the right to modify these Terms of Service at any time. Material changes will be communicated to the Client via email to the address on file or through a prominent notice on our website at least thirty (30) days prior to their effective date. • Continued use of the service after the effective date of any changes constitutes the Client's acceptance of the revised Terms. • If the Client does not agree to the revised Terms, the Client's sole remedy is to cancel their subscription before the new terms become effective, subject to the standard cancellation policy.

43. Assignment

51. Subscription Terms

New customers subscribe on a buy-now basis: a valid card is collected via Stripe and charged for the first monthly period on signup. a.hub does not offer a free trial. • Upon subscription, the client is charged a recurring monthly fee of AED 1,999 plus 5% UAE Value Added Tax (VAT), beginning on signup. • This recurring monthly charge will continue until the subscription is actively cancelled by the client through the designated account management portal. • Artwing Digital Marketing LLC reserves the right to modify its pricing structure upon providing clients with reasonable prior notice.

52. Client Content Responsibilities and Indemnification

The client expressly acknowledges and agrees that all AI-generated content published through the a.hub service is hosted on the client's own domain and under the client's brand, making the client the sole publisher and fully responsible for all such content. • The client retains full editorial control over all published content and assumes all risks associated with its publication. • Artwing Digital Marketing LLC (trading as a.hub) expressly excludes all liability for any loss, fine, penalty, regulatory or governmental action, defamation claim, misinformation, intellectual property infringement claim, or any other third-party claim or damages whatsoever arising directly or indirectly from the content generated, published, or distributed through the a.hub service. • The client shall fully indemnify, defend, and hold harmless Artwing Digital Marketing LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with any content published or made available by the client through the a.hub service, including but not limited to allegations of defamation, intellectual property infringement, misinformation, or violation of any applicable laws or regulations.

53. Limitation of Liability

To the maximum extent permitted by UAE law, Artwing Digital Marketing LLC's total aggregate liability arising out of or in connection with these Terms of Service or the provision of the a.hub service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by the client to Artwing Digital Marketing LLC in the three (3) months immediately preceding the event giving rise to the claim. • This limitation of liability shall not apply to direct damages proven to be caused by Artwing Digital Marketing LLC's fraud, wilful misconduct, gross negligence, or in cases of death or personal injury caused by Artwing Digital Marketing LLC's negligence. • Artwing Digital Marketing LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with these Terms of Service or the use of the service, regardless of the form of action, even if Artwing Digital Marketing LLC has been advised of the possibility of such damages.

54. Data Processing and Retention

55. Content Hosting and Intermediary Protection

Artwing Digital Marketing LLC provides hosting services for the AI-generated content published on the client's designated subdomain. • Artwing Digital Marketing LLC reserves the right, at its sole discretion, to refuse to publish or to remove any content that it deems objectionable, unlawful, or in violation of these Terms of Service or any applicable laws or regulations, including but not limited to the UAE Cybercrime Law (Federal Decree-Law No. 34/2021). • In the event of a notice-and-takedown request or similar legal demand regarding content hosted through the a.hub service, Artwing Digital Marketing LLC will comply with its obligations under applicable UAE laws, including those relating to intermediary liability protection. • The client acknowledges and agrees that Artwing Digital Marketing LLC acts solely as an intermediary host and is not responsible for monitoring or policing the content published by clients.

56. Business-to-Business Service and Waivers

The a.hub service provided by Artwing Digital Marketing LLC is intended exclusively for business-to-business (B2B) clients and is not offered to individual consumers. • Accordingly, the provisions of UAE Federal Law No. 24/2023 on Consumer Protection (or any successor legislation) do not apply to these Terms of Service or the services provided hereunder. • By accepting these Terms, the client expressly waives any rights to a cooling-off period or similar consumer protection provisions that may otherwise be implied by law, acknowledging the B2B nature of the transaction.

58. Sub-Processors

Artwing Digital Marketing LLC utilizes various sub-processors to facilitate the provision of the a.hub service. • These sub-processors include, but are not limited to, Stripe for payment processing, Google for analytics and search console integration, Vercel for hosting services, and designated third-party email providers for communication services. • By agreeing to these Terms, the client consents to Artwing Digital Marketing LLC's use of these sub-processors and acknowledges that data may be shared with them to the extent necessary for service delivery, always in compliance with applicable data protection laws.

59. Governing Law and Dispute Resolution

1. Definitions

For the purposes of this Data Processing Addendum (DPA): • "Controller" means the Client, who determines the purposes and means of the Processing of Personal Data. • "Processor" means Artwing Digital Marketing LLC (trading as "a.hub"), who Processes Personal Data on behalf of the Controller. • "Personal Data" means any information relating to an identified or identifiable natural person. • "Sub-processor" means any third party engaged by Artwing Digital Marketing LLC to Process Personal Data on behalf of the Controller. • "Personal Data Breach" means a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to, Personal Data transmitted, stored or otherwise Processed. • "PDPL" refers to Federal Decree-Law No. 45/2021 regarding the Protection of Personal Data, as amended or superseded.

2. Scope, Roles & Relationship

This DPA governs the Processing of Personal Data by Artwing Digital Marketing LLC (trading as "a.hub") on behalf of the Client in connection with the provision of the AI-search and Google SEO content service. The Client is hereby designated as the Controller of the Personal Data, and Artwing Digital Marketing LLC (trading as "a.hub") is designated as the Processor. Both parties acknowledge and agree to their respective roles and responsibilities under this DPA and applicable data protection laws, including the PDPL.

3. Subject-matter, Duration, Nature & Purpose of Processing

The subject-matter of the Processing is the Client's Google visitor data, accessed by Artwing Digital Marketing LLC (trading as "a.hub") via the Client's Google Search Console and Google Analytics accounts (read-only access). The duration of the Processing shall be for the term of the service agreement between Artwing Digital Marketing LLC and the Client, and for a period of ninety (90) days thereafter for data retention purposes, unless otherwise required by law (e.g., UAE FTA records for approximately five years). The nature and purpose of the Processing are to provide, maintain, and improve the AI-search and Google SEO content service, which involves analyzing website traffic and performance to generate and publish AI-generated content on the Client's subdomain.

4. Categories of Data Subjects & Types of Personal Data

The categories of data subjects whose Personal Data may be Processed under this DPA are the visitors to the Client's website. The types of Personal Data Processed include, but are not limited to, aggregated and anonymized visitor statistics, traffic sources, page views, bounce rates, geographical data, device types, and browser information, all as available through Google Analytics and Google Search Console. Artwing Digital Marketing LLC (trading as "a.hub") does not intentionally collect or process any special categories of Personal Data as defined under PDPL.

5. Processor's Obligations – Processing only on Documented Instructions

Artwing Digital Marketing LLC (trading as "a.hub") shall Process Personal Data only on documented instructions from the Client, unless required to do so by UAE law, in which case Artwing Digital Marketing LLC shall inform the Client of that legal requirement before Processing, unless that law prohibits such information on important grounds of public interest. Artwing Digital Marketing LLC shall immediately inform the Client if, in its opinion, an instruction infringes the PDPL or other applicable data protection provisions. The Client’s documented instructions for the Processing of Personal Data are set out in this DPA and the underlying service agreement.

6. Confidentiality of Personnel

Artwing Digital Marketing LLC (trading as "a.hub") shall ensure that its personnel authorised to Process the Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality. Artwing Digital Marketing LLC restricts access to Personal Data to those employees who require access to fulfill their job responsibilities related to the provision of the service, ensuring all such personnel are aware of their responsibilities under this DPA.

7. Security of Processing (Technical & Organisational Measures)

Artwing Digital Marketing LLC (trading as "a.hub") shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including measures to protect Personal Data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure, or access. These measures include, where appropriate, pseudonymisation and encryption of Personal Data, ensuring the ongoing confidentiality, integrity, availability, and resilience of processing systems and services, and regular testing, assessing, and evaluating the effectiveness of technical and organisational measures for ensuring the security of the processing. Access to client Google Search Console and Analytics is strictly read-only, preventing alteration or deletion of data within those platforms.

8. Sub-processing

The Client grants Artwing Digital Marketing LLC (trading as "a.hub") general authorisation to engage Sub-processors for the performance of the services. Artwing Digital Marketing LLC currently uses Stripe (payment processing), Google (analytics and search console integration), Vercel (hosting), and an email provider as Sub-processors, and shall maintain an up-to-date list of such Sub-processors available upon reasonable request. Artwing Digital Marketing LLC shall inform the Client of any intended changes concerning the addition or replacement of other Sub-processors, thereby giving the Client the opportunity to object to such changes on reasonable grounds. Where Artwing Digital Marketing LLC engages a Sub-processor, it shall ensure that the same data protection obligations as set out in this DPA are imposed on that Sub-processor by way of a written contract, in particular providing sufficient guarantees to implement appropriate technical and organisational measures.

9. Assistance with Data Subject Rights

Artwing Digital Marketing LLC shall, considering the nature of the processing, assist the Client by appropriate technical and organisational measures, insofar as this is possible, for the fulfilment of the Client’s obligation to respond to requests for exercising Data Subject rights under the UAE PDPL (Federal Decree-Law No. 45/2021). • Artwing Digital Marketing LLC will promptly inform the Client if it receives a request from a Data Subject concerning their personal data processed under this DPA, and will not respond to that Data Subject directly unless expressly authorised in writing by the Client or required by law. • The Client shall be responsible for verifying the identity of the Data Subject and handling all communications and responses related to such requests.

10. Assistance with Security, Breach & Impact Assessments

Artwing Digital Marketing LLC shall provide the Client with reasonable assistance in ensuring compliance with the Client’s obligations pertaining to the security of personal data, notification of personal data breaches, and data protection impact assessments, taking into account the information available to Artwing Digital Marketing LLC and the nature of the processing. • Such assistance will be limited to providing information Artwing Digital Marketing LLC reasonably possesses regarding its security measures and the processing activities under this DPA. • The Client acknowledges and agrees that Artwing Digital Marketing LLC's role as a processor limits its capacity to provide comprehensive assistance for obligations that are inherently the Client's responsibility as the controller.

11. Personal Data Breach Notification

Artwing Digital Marketing LLC shall notify the Client without undue delay upon becoming aware of a Personal Data Breach affecting personal data processed under this DPA. • Such notification shall include, to the extent reasonably practicable, a description of the nature of the breach, the categories and approximate number of data subjects and records concerned, the likely consequences of the breach, and the measures taken or proposed to be taken by Artwing Digital Marketing LLC to address the breach. • Artwing Digital Marketing LLC will cooperate with the Client in investigating the breach and mitigating its effects, providing information as reasonably requested by the Client to enable them to fulfil their own breach notification obligations under the UAE PDPL (Federal Decree-Law No. 45/2021).

12. International Data Transfers & Safeguards

Artwing Digital Marketing LLC commits to processing personal data within the United Arab Emirates or through sub-processors located in jurisdictions deemed to provide an adequate level of protection for personal data or under appropriate safeguards as required by the UAE PDPL (Federal Decree-Law No. 45/2021). • The Client authorises Artwing Digital Marketing LLC to transfer personal data to its sub-processors, including Stripe, Google, and Vercel, in accordance with applicable data protection laws and this DPA. • Artwing Digital Marketing LLC shall ensure that any such international transfers comply with the requirements of the UAE PDPL, including, where necessary, implementing standard contractual clauses or other legally recognised transfer mechanisms.

13. Audit & Information Rights

Artwing Digital Marketing LLC shall make available to the Client all information necessary to demonstrate compliance with the obligations laid down in this DPA and the UAE PDPL (Federal Decree-Law No. 45/2021). • Upon reasonable written request by the Client, Artwing Digital Marketing LLC shall allow for and contribute to audits, including inspections, conducted by the Client or an auditor mandated by the Client. • Any such audit shall be conducted during normal business hours, with reasonable prior notice, and in a manner that does not unreasonably interfere with Artwing Digital Marketing LLC’s business operations, and the Client shall bear all costs associated with such audits. • Artwing Digital Marketing LLC may charge a reasonable fee for such assistance, commensurate with the time and resources expended.

14. Deletion or Return on Termination

Upon termination or expiration of the Agreement, Artwing Digital Marketing LLC shall, at the Client's option, delete or return to the Client all personal data processed on behalf of the Client, and delete existing copies unless storage of the personal data is required by UAE law. • Artwing Digital Marketing LLC will securely delete all Client personal data within ninety (90) days of termination, except for records that Artwing Digital Marketing LLC is legally obliged to retain for tax, billing, or other regulatory purposes under UAE law, which may extend up to five (5) years. • The Client acknowledges that certain aggregated, anonymised, or statistical data derived from the personal data may be retained by Artwing Digital Marketing LLC for service improvement or analytical purposes, provided it cannot identify the Client or any individual data subject.

15. Liability & Indemnity

Without prejudice to any other liability provisions in the main Terms of Service, Artwing Digital Marketing LLC's total aggregate liability arising out of or in connection with this DPA, whether in contract, tort (including negligence), or otherwise, shall be limited to the fees paid by the Client to Artwing Digital Marketing LLC in the three (3) months immediately preceding the event giving rise to the claim. • This limitation of liability shall not apply in cases of fraud, wilful misconduct, gross negligence, or death or personal injury caused by Artwing Digital Marketing LLC's actions or omissions. • The Client shall indemnify, defend, and hold harmless Artwing Digital Marketing LLC from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from the Client's breach of this DPA or its obligations under the UAE PDPL, or from any actions or omissions of the Client as a data controller.

16. Records of Processing

Artwing Digital Marketing LLC shall maintain a record of all categories of processing activities carried out on behalf of the Client, containing all information required by the UAE PDPL (Federal Decree-Law No. 45/2021). • These records shall be provided to the Client upon reasonable request to demonstrate compliance with this DPA and applicable data protection laws. • Artwing Digital Marketing LLC commits to keeping such records accurate and up-to-date, reflecting the current state of personal data processing under the Agreement.

17. Controller's Warranties & Responsibilities

The Controller warrants that it has all necessary rights, consents, and permissions to provide Artwing Digital Marketing LLC with the Personal Data for processing in accordance with this DPA and the Agreement. The Controller shall ensure that its instructions to Artwing Digital Marketing LLC comply with all applicable data protection laws, including the UAE PDPL. • The Controller is solely responsible for the accuracy, quality, and legality of the Personal Data provided to Artwing Digital Marketing LLC and for the means by which it acquired such data. • The Controller shall promptly notify Artwing Digital Marketing LLC of any changes to its privacy policies or any other information relevant to Artwing Digital Marketing LLC's processing of Personal Data under this DPA.

18. Order of Precedence

In the event of any conflict or inconsistency between the provisions of this DPA and the provisions of the main service agreement (the "Agreement"), the provisions of this DPA shall prevail concerning the subject matter of data processing and protection. Where there is a conflict between this DPA and any other document referenced herein, this DPA shall take precedence. • For clarity, any terms in the Agreement that purport to limit Artwing Digital Marketing LLC's liability for data protection breaches more broadly than permitted by applicable law shall be superseded by the provisions of this DPA to the extent necessary to ensure compliance with the UAE PDPL.

19. Governing Law, Jurisdiction & Term

This DPA shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with this DPA shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, or the DIFC Courts, at Artwing Digital Marketing LLC's sole discretion. The parties further agree to binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC). • This DPA shall remain in full force and effect for as long as Artwing Digital Marketing LLC processes Personal Data on behalf of the Controller pursuant to the Agreement, and shall automatically terminate upon the complete deletion or return of all Personal Data as set forth herein. • Specific data retention obligations for legally required tax and billing records, typically five (5) years under UAE FTA regulations, shall survive the termination of this DPA and the Agreement.
